Eva advises publicly listed and private companies on preparing and conducting their shareholder meetings and on reorganizing the corporate group structure by way of spin-offs and hive-downs of business units, national and international mergers and conversions of legal form (e.g., into a European stock corporation, SE), also from a co-determination perspective, as well as on all corporate advisory matters related to management boards, managing directors, as well as supervisory and administrative boards (corporate governance).
Another one of her core areas is advising on public takeovers with subsequent structural measures (taking private), such as the preparation and implementation of domination and profit and loss transfer agreements and squeeze-outs. This comprises all relevant capital market and stock exchange law-related questions, such as the notification of voting rights and managers’ transactions, as well as ad hoc publicity.
Eva also regularly represents companies, shareholders, members of management boards, managing directors, as well as members of supervisory and administrative boards, in all kinds of corporate litigation. These may include the defense of contestation and voidance claims against resolutions of general and shareholder meetings, release proceedings and appraisal proceedings, the defense against applications by minority shareholders for the appointment of special auditors and special representatives, as well as damage claims against members of corporate bodies, and she supervises post-M&A disputes in court and in arbitration.
