POELLATH advises Vodafone on squeeze-out at Kabel Deutschland under corporate transformation law

Vodafone Vierte Verwaltungs AG, a wholly-owned subsidiary of Vodafone GmbH, has executed a squeeze-out of Kabel Deutschland Holding AG under transformation law and has become the sole shareholder of Kabel Deutschland Holding AG upon registration of the ne-cessary resolutions in the commercial registers of the companies involved. The minority shareholders, who most recently held 5.99% of the share capital of Kabel Deutschland Hol-ding AG, have left the company in return for compensation of EUR 93 per share.

Vodafone has thus successfully completed the integration of Kabel Deutschland into the cor-porate group after acquiring a majority stake in Kabel Deutschland in 2013 as part of a public takeover bid and concluding a domination and profit and loss transfer agreement in 2014.

Vodafone Vierte Verwaltungs AG was subsequently merged into Vodafone GmbH.
