What notification obligations apply to management participations?
In the context of private equity transactions, management commitment is of high strategic importance. Private equity funds therefore often offer the management the acquisition of an equity stake in the holding company when they enter. The management’s shares are often not acquired directly, but bundled via a GmbH & Co. KG or via foreign partnerships, such as a Luxembourg SCSp (so-called “MEP KG”). The holding company itself, in which the participation is established, is also often a foreign corporation. This foreign connection of management participations can lead to various reporting obligations.
